BJS Wholesale Club Inc Class Action Lawsuit for Securities Fraud

BJ's Wholesale Club was sued by stockholders for breach of directors fiduciary duties in connection with the company's proposed merger.

The case claims among other things, failure to fully inform stockholders of BJS Wholesale Club's market value, failure to issue complete and accurate disclosures related to the merger, failure to maximize stockholder value, and failure to obtain the best financial information. Also, the case claims failure of the company to act in the best interest of public stockholders, and that the directors sought to benefit themselves improperly.

The complaint further claims that the non-company and non-director defendants aided and abetted the directors' purported breaches.

The case sought injunctive and other equitable relief, including restictions from BJ's merging, in addition to fees and costs.

BJS Wholesale Club filed two Definitive Additional Proxy materials. As a result of the filings, the case for a preliminary injucntion was withdrawn.

The class action was filed in the Court of Chancery of the State of Delaware.

BJS Wholesale Club Inc is Sued in Class Action and $10 million is Paid in Settlements

BJ's was sued in a class action suit by current and former department and other assistant managers.

The Complaint seeks unpaid wages, overtime compensation, and benefits; liquidated, consequential, punitive and multiple damages; interest, costs, and attorneys fees; as well as various forms of equitable relief.

BJS Wholesale Club paid $10.7 million in settlements and other expenses related to this matter and have $1.0 million reserved for future payments.

The case was filed in the United States District Court for the District of Massachusetts.

BJS Wholesale Club Inc Class Action Law Suit Requesting Employee Compensation

BJ's was sued in a class action brought by current and former department and other assistant managers where they have not been compensated for overtime work.

The Complaint seeks unpaid wages, overtime compensation, and benefits; liquidated, consequential, punitive and multiple damages; interest, costs, and attorneys fees; as well as various forms of equitable relief.

The case was filed in the federal court in Massachusetts.

BJS Wholesale Club Inc Employment Class Action Law Suit

BJ's was sued in a class action suit by current and former department and other assistant managers.

The Complaint seeks unpaid wages, overtime compensation, and benefits; liquidated, consequential, punitive and multiple damages; interest, costs, and attorneys fees; as well as various forms of equitable relief.

BJS Wholesale Club recorded a pretax charge of $11.7 million in connection with a proposal to settle this claim and related payments. The settlement is still required to be approved by the court, however, certain current and former mid-level managers will be eligible to receive payments to compensate them for particular hours worked in prior years.

BJS Wholesale Club expect to pay the settlement in the next twelve months.

The case was filed in the United States District Court for the District of Massachusetts.

BJS Wholesale Club Sues Visa and Mastercard as part of Antitrust Class Action Suit

BJS Wholesale Club are a member of the class action action law suit against Visa and Mastercard for Antitrust. Bjs are entitled to a portion of the fund as settlement was confirmed today.

The VISA/MasterCard antitrust class action litigation required VISA and MasterCard to pay $3.05 billion into a settlement fund that will be distributed to class members.

In 2006, BJS Wholesale Club received cash recoveries totaling $3.3 million. BJS Wholesale Club do not expect to receive further material recoveries from this settlement.
